P.1: INTERN RESPONSIBILITIES *

Intern acknowledges that it shall be responsible for performing project tasks, execution and completion in a reasonable and timely manner, including: (a) coordination of any decision-making with Ashley Gaffney; (b) provision of Client Content in a form suitable for reproduction or incorporation into the Deliverables without further preparation; (c) final proofreading for errors or misspellings.

P.2: CREDITS & PROMOTION *

Ashley Gaffney Design, LLC (AGD Studio) retains the right to reproduce, publish and display project Deliverables from the internship on our website, client websites, design periodicals and any other media for promotional and professional purposes. The intern will be credited with authorship of the Deliverables in connection with their internship period. You agree to adequately credit AGD's authorship in the event that you decide to publish or exhibit the work on your website, or for any awards or professional recognition related to the Deliverables. When promoting, you may describe your role in relation to the Project and, if applicable, the services provided to AGD during your internship on your website, in social media venues and in other promotional materials. AGD and any other creators shall receive a credit line for any editorial usage.

P.3: CODE OF FAIR PRACTICE *

INTERN: The Intern warrants and represents that, to the best of his/her knowledge, the work assigned hereunder is original and has not been previously published, or that consent to use has been obtained on an unlimited basis; and that the work prepared by the Designer does not contain any unaccredited, scandalous, libelous, or unlawful matter. AGD: AGD Studio agrees to indemnify and hold the Intern harmless against any and all claims, costs, and expenses, including attorney’s fees, due to materials included in the Design at the request of the Client for which no copyright permission or privacy release was requested, or for which uses exceed the uses allowed pursuant to a permission or release.

P.4: EXPENSES *

If applicable, AGD shall reimburse the Intern for all expenses arising from project assignments, including Stock Photography, Artwork, and or material needed for the project.

P.5: OWNERSHIP OF ARTWORK *

The Intern retains ownership of all original artwork, whether preliminary or final. If AGD or a Client of AGD wishes the have ownership or the rights to a specific design or concept, these may be purchased at any time for a recalculation of the hourly rate on the time billed.

P.6: ACCEPTANCE OF TERMS *

This Agreement constitutes the entire, sole and only agreement of the parties and supersedes any prior understandings or written or oral agreements between the parties respecting the services. Any dispute arising out of this agreement will be resolved by negotiation between the parties. This Agreement, and the rights and duties of the parties under it, are governed by the laws of the State of Colorado. The action of the sending and receipt of this agreement via electronic method will hold both parties in acceptance of these terms; Ashley Gaffney Design, LLC (AGD Studio) as sender and the Intern as recipient. Electronic signatures shall be considered legal and binding and can be enforced in the same way as a written signature.
